Rental Service Agreement
Version SETWELL-RENTAL-2026-10-v3.5
Ademis Technologies LLC d/b/a Setwell Appliances. Contact: contact@setwellappliances.com.
1. Rental equipment and ownership
SETWELL rents the appliances identified in the Equipment Schedule for ordinary household use at the approved Service Address. Ownership and title remain with SETWELL. Rental payments do not create equity, a purchase credit, or a purchase option. This is not rent-to-own. Any later purchase must be a separate, independently agreed transaction, not an automatic outcome of this Agreement.
The Base plan supplies one clean, tested, functional full-size washer and one dryer. They may be different brands, models, colors, or ages and may have ordinary cosmetic wear. The Premium plan supplies a matching or coordinated pair with better cosmetic presentation; additional capacity or features depend on the equipment actually confirmed. Representative photographs do not guarantee a specific model. SETWELL will identify assigned equipment and disclose any specifically promised features before installation is accepted.
A service swap must be reasonably comparable to the selected tier and any specifically agreed essential features. An agreed substitution does not restart the minimum commitment. Record each substitution in a dated Equipment Schedule; do not overwrite the original record.
2. Approval, identity, and payment setup
Customer must be at least 18, supply accurate information, have authority to arrange installation at the premises, and obtain any required landlord/building permission. Approval depends on verified identity, approved service location and access, suitable hookups, inventory, and an accepted payment method. SETWELL does not require a security deposit or obtain a traditional consumer credit report under this program.
Identity verification is handled through the disclosed verification process. A failed automated check or an old address on an ID is not, by itself, proof of fraud. Additional information or a manual review may be requested. Privacy and any biometric consent are handled separately; signing this Agreement alone is not consent to every possible data use.
Customer provides a payment method and accepts a separate recurring-payment authorization before delivery. Saving a payment method does not guarantee that a later charge will succeed. SETWELL may postpone release of equipment if an authorized payment fails or requires additional action.
3. Service area and installation access
The standard service area extends up to 40 geographic miles from SETWELL's Richardson operating base. Addresses over 40 and up to 50 geographic miles require individual review and affirmative approval. Addresses beyond 50 miles are outside current coverage under this version. A ZIP result is preliminary: exact-address validation, access, and capacity still control approval. These are straight-line distances, not road-mile or travel-time promises.
Standard access means a safe ground-floor route or a suitable elevator route to the actual laundry area. Stairs, interior upstairs laundry rooms, narrow turns, elevator restrictions, or uncertain access require advance review. A few steps are not automatically safe or included. No employee is required to attempt unsafe solo lifting. Customer must disclose these conditions before scheduling.
4. Delivery and standard installation
Standard delivery, connection to existing safe compatible hookups, placement, and basic testing are included with the four-month commitment. Customer must provide clear access, working utilities, suitable water shutoffs/drainage, appropriate electrical supply, and safe dryer exhaust. No plumbing, electrical, gas-line, vent reconstruction, structural work, or code remediation is included. Gas installation or nonstandard work requires express approval and appropriately qualified personnel; it is not promised by selecting a plan.
Any extra work or relocation charge must be separately quoted and accepted before the work. There is no automatic distance surcharge or stair fee under this Agreement. SETWELL may decline or reschedule unsafe/incompatible installations. Rent does not start merely because a request is approved, an agreement is signed, or a delivery window is reserved.
5. Four-month commitment and early ending
The Service Start Date is the local calendar date on which delivery, safe installation, testing, and customer acceptance are completed and service is activated. The minimum commitment ends four calendar months after that date, using the same day number or the last day of the target month when that day does not exist. Monthly anniversaries are measured from the original date; counting invoices or month boundaries is not a substitute. A September 24 start, for example, reaches four months on January 24.
Customer pays monthly, not four months upfront. After the commitment, service automatically continues month-to-month until ended. Customer may submit the 14-day notice before the fourth anniversary to arrange a fee-free ending on or after that anniversary; this does not create an additional mandatory month.
Customer may voluntarily end earlier. The delivery/installation recovery is $25 for each uncompleted month of the four-month period, determined at the agreed effective service end:
| Completed service months | Recovery charge |
|---|---|
| Fewer than 1 | $100 |
| 1 | $75 |
| 2 | $50 |
| 3 | $25 |
| 4 or more | $0 |
The charge is separate from rent and never exceeds $100. SETWELL does not also demand all remaining four-month rent as an early-ending penalty. No recovery charge applies before a successful installation, when SETWELL ends service without Customer default, or when Customer ends because SETWELL has materially failed to provide the promised functioning equipment/service. Any tax on a recovery charge is included only when legally applicable. No automatic charge to a saved payment method is permitted solely because this clause exists; the separate authorization governs collection.
6. Rent, proration, and first-of-month billing
Monthly rent is the selected amount in the Rental Summary plus applicable tax. Billing uses the America/Chicago calendar. The first payment covers the Service Start Date through the end of that month and is charged when service is activated, not at the initial request or approval stage. If installation is postponed, the amount must be recalculated before charging.
Partial-month rent uses Stripe time-based proration: the monthly rate is multiplied by the fraction of the actual billing period covered by service, measured using billing timestamps and rounded to cents. Billing boundaries use America/Chicago. The actual activation timestamp starts the first period; the next boundary is the first of the following month. Subsequent monthly payments are due on the first in advance. Final prepaid-rent adjustments use the same time-based billing periods, not a flat 30-day divisor. The exact rent, applicable tax, covered period and next payment date are disclosed before the first debit.
If activation occurs during the last three calendar days, SETWELL may offer one combined first invoice covering the partial month and the next full month. This method applies only when the customer sees and accepts the amount, periods, and next payment date before the charge. The next full month must not be billed twice. Otherwise use ordinary partial-month billing followed by the next first-of-month charge. This is not four-month prepayment.
SETWELL will provide invoices/receipts identifying covered periods, rent, tax, and adjustments. Rent will not increase during the initial commitment. Afterward, a prospective increase requires at least 30 days' written notice and an opportunity to end service under this Agreement. No late fee or failed-payment fee is imposed by this version.
7. Required autopay and payment problems
Maintaining a valid, authorized recurring-payment method is a condition of continuing this rental, except where prohibited by law or SETWELL expressly agrees to another arrangement. Customer must keep the method current and maintain sufficient available funds or credit. The separate Payment Authorization controls permitted debits. Do not send full card numbers, security codes or banking passwords to SETWELL.
For an ongoing rental, SETWELL uses this missed-payment process. Calendar-day references use America/Chicago and are measured from the original invoice due date:
| When | What happens |
|---|---|
| Due date | SETWELL attempts the authorized scheduled payment. On learning it failed, SETWELL promptly sends a payment-failure notice with the amount, invoice, secure correction/payment instructions and cure deadline. |
| 3 calendar days after due date | If still unpaid, SETWELL sends a reminder and may make the first automatic retry, if permitted. |
| 5 calendar days after due date | If still unpaid, SETWELL sends a final reminder and may make the second automatic retry, if permitted. |
| 7 calendar days after due date | Unpaid rent is in default. Staff review the balance, payment status, notice and cure opportunity before deciding on termination and pickup. |
The initial notice must explain the possible termination and pickup consequence. SETWELL will not terminate for that missed payment before the later of seven calendar days after the due date or three calendar days after the failure/cure notice is provided. A delayed failure notification therefore preserves a meaningful correction period. These periods do not change the invoice due date or impose a late fee.
There are no more than two automatic retries of the same failed scheduled rent payment under this process, on the third and fifth calendar days after the due date. A missed retry is skipped, not accumulated for later attempts. Retries stop after payment, revocation, a stop-payment instruction or a provider restriction. Do not retry a payment still processing, duplicate a payment, or retry when customer action or a new authorization is required. A separate payment expressly initiated by Customer is not an automatic retry. Applicable law, payment-network rules and required bank-debit notices control and may prevent either retry. No late or failed-payment fee is imposed by this version.
Customer may revoke a payment authorization or exercise applicable bank stop-payment rights. SETWELL will not knowingly debit under a revoked authorization. To continue renting, Customer must promptly arrange a newly authorized recurring method or obtain SETWELL's express agreement to another permitted arrangement. If autopay is removed without replacement, SETWELL will give notice identifying the problem and allow seven calendar days after that notice to restore authorized autopay or agree to an alternative. Failure to do so is a correctable material breach under Section 12, even if no rent is currently overdue. An overdue balance retains its separate payment deadline; changing a method does not reset it. Where law requires another payment option, SETWELL will honor that requirement.
A one-time authorized payment may settle an outstanding invoice but does not itself reinstate recurring authorization or waive the continuing autopay condition. Revoking autopay does not cancel the rental, excuse valid rent, or grant a right to keep equipment without paying. Unresolved breach may lead to termination and lawful pickup, not unauthorized debits. Disputed damage, relocation and early-ending assessments require an itemized separate invoice or specific authorization; this Agreement is not permission to debit any amount SETWELL chooses.
A failed first activation payment is handled before the rental becomes Active: the payment method must be corrected and payment confirmed before activation. It does not start a seven-day right to use unpaid equipment. A pending bank transfer is not proof of cleared payment. Payment disputes never authorize threats, forced entry or unlawful recovery.
8. Covered service and the 72-hour promise
For a covered appliance failure during normal household use, SETWELL will repair the affected appliance or provide a reasonably comparable replacement within 72 elapsed hours after confirming the covered service request. SETWELL will acknowledge requests and assess the necessary information promptly; it will not deliberately delay confirmation to avoid the promise. The customer receives confirmation and the target service deadline.
The service clock pauses only for a documented period when access is unavailable, Customer has not supplied necessary information, the premises are unsafe, or a genuine external emergency prevents safe service. SETWELL will explain the reason and revised deadline. Routine parts shortages or ordinary staffing/scheduling problems are not, by themselves, a substitute for the repair-or-swap obligation. No guaranteed same-day response is created.
Covered appliance failures, ordinary wear, and covered swaps do not carry a repair charge. Customer must comply with Section 9's reporting duties, accepted reporting methods, and immediate safety/stop-use requirements. Emergency help takes priority over notifying SETWELL; SETWELL's website, voicemail, and text service are not emergency-response channels. These reporting duties do not change this section's service clock, permitted pauses, or next-full-month rental waiver.
If a covered appliance failure is not repaired or replaced within 72 elapsed hours after SETWELL confirms the service request, subject to the documented permitted pauses above, the next full month’s washer-and-dryer rent is free. SETWELL records the qualifying missed promise and an administrator applies the full-pair rental waiver to the next unpaid full-month invoice, with the associated rental tax adjusted. The waiver does not restart the commitment or move the regular billing date. Further benefits for the same continuing outage require owner review; SETWELL must still arrange the covered repair or comparable swap. Prepaid-month and service-ending exceptions require review and are not treated as forfeiture or an automatic cash refund.
If SETWELL cannot meet its obligation, it will explain the delay and arrange a repair, comparable replacement, or service ending as appropriate. The early-ending recovery is waived when ending results from SETWELL's material nonperformance. This clause does not replace non-waivable remedies or promise an additional fixed cash guarantee not otherwise agreed.
9. Use, care, fault reporting, damage, and loss
9.1 Ordinary care and prohibited acts
Customer must use the appliances for ordinary household laundry, follow manufacturer and SETWELL instructions, keep the lint filter and accessible equipment reasonably clean, and avoid overloads and foreign objects. Customer may not sell, pawn, pledge, sublease, abandon, dismantle, modify, bypass a safety device, or arrange unauthorized repairs to SETWELL equipment. Customer must tell household members and other permitted users about reporting and stop-use requirements and take reasonable steps to prevent use of equipment known to be unsafe.
9.2 Reporting appliance problems
Customer must report appliance faults to SETWELL as soon as reasonably practicable after becoming aware of them. Non-urgent faults should normally be reported within 48 hours. Customer must not unreasonably delay reporting because an appliance still partly works or the problem is intermittent. Reasonable circumstances affecting Customer’s ability to report will be considered.
Urgent conditions. The routine reporting period does not apply to an apparent safety hazard or risk of further property damage. Customer must follow the immediate safety and stop-use requirements in this Agreement and notify SETWELL as soon as safely practicable.
Reporting later than 48 hours does not, by itself, create a fee, terminate the rental, or remove coverage for the original appliance failure. Customer remains responsible for reasonable, documented additional damage only to the extent SETWELL establishes that an unreasonable reporting delay or failure to follow applicable stop-use requirements caused or materially worsened that damage.
Report loss of function; failure to fill, wash, drain, spin, heat, or dry normally; unusual or worsening noise/vibration; leaking; visible damage; damaged cords, hoses, or connections; and persistent, recurring, or safety-related error messages. Report even when the cause is unknown, the problem is intermittent, the appliance partly works, or a home utility/hookup may be involved. Do not wait for complete failure, the next bill, a scheduled visit, or pickup. A routine operating message resolved by a safe user step in the manufacturer instructions need not be reported unless it recurs, remains unresolved, or indicates danger. No diagnosis, dismantling, or discovery of concealed faults without reasonably observable signs is required.
9.3 Urgent hazards and stop-use requirements
Leaks or overflow, smoke, burning smells, sparks, electrical shock, suspected gas leakage, excessive heat, severe movement, or other apparent danger require immediate safety action, not a wait of up to 48 hours. Stop using the affected appliance immediately where safe. Do not restart it, repeatedly reset tripped protection, bypass a safety device, or run a cycle to reproduce a hazardous fault. Notify SETWELL as soon as safely practicable.
For fire, suspected gas leakage, serious electrical danger, or an immediate threat, leave the dangerous area and contact 911 and/or the relevant utility from a safe location as appropriate; notify SETWELL afterward when safe. Do not operate electrical switches or appliance controls near suspected gas leakage, touch energized equipment or plugs in standing water, move heavy appliances to reach connections, or attempt hazardous repairs. Do not wait for SETWELL before obtaining emergency help; its website, voicemail, and texts are not emergency-response channels.
Follow reasonable, safe damage-prevention instructions and provide access under Section 10. Resume use after a stop-use condition only when SETWELL or an appropriately qualified professional addressing that condition confirms it is safe; emergency-responder and utility instructions take priority. Customer need not risk injury or perform technical repairs. Reporting a non-safety fault does not alone prohibit safe use unless SETWELL reasonably directs otherwise.
9.4 How to report and what information to provide
Use SETWELL's website service form, My Rental portal, designated business phone including identifiable voicemail, text to that number, or contact@setwellappliances.com. Current contact details appear in the Rental Summary, My Rental, or SETWELL's official website. Notice only to a landlord, manufacturer, or unaffiliated repairer is not notice to SETWELL unless actually relayed to SETWELL. An authorized person may report for Customer.
Identify Customer/service location, the affected appliance, and the problem. When reasonably available, include the discovery time, whether use continued, any safety concern or damage, and a callback method. An Asset ID, serial number, photo, exact discovery time, or technical diagnosis is not required for an otherwise identifiable initial report. Photos/video must be safe to obtain and must not delay reporting.
An identifiable report counts when received, not when staff later record or confirm it. Admin-entered reports must preserve the original channel and receipt time. SETWELL sends an email acknowledgment, but its absence does not invalidate received notice. If Customer learns a message failed, promptly try another available accepted channel. SETWELL's own communication failure is not Customer default where reasonably available evidence shows a timely good-faith attempt and reasonable follow-up once the failure became known. Adequate phone notice requires neither a written-only report nor a duplicate web form.
9.5 Responsibility for avoidable additional damage
Customer is responsible for reasonable, necessary, documented additional damage and directly related repair, cleaning, or replacement costs only to the extent SETWELL establishes that a reporting or stop-use breach caused or materially worsened them and timely reporting or safe compliance would reasonably have prevented them. Examples include additional damage from repeatedly operating a washer with a known leak or severe grinding, or a dryer after a known overheating warning or communicated stop-use instruction.
SETWELL remains responsible for the repair or replacement that would normally have been required for a covered appliance failure.
Before charging Customer for additional damage, SETWELL will provide an itemized explanation of the damage, the reason Customer is considered responsible, and the amount claimed. Customer will have a reasonable opportunity to question or dispute the charge. A reporting delay alone does not automatically make Customer responsible for an appliance failure or create a late-reporting fee.
9.6 Other damage, loss, and valuation
Customer is responsible for reasonable, documented loss attributable to misuse, abuse, unauthorized alteration/relocation, missing parts, or customer-caused damage beyond normal wear. A premises defect or infestation is not automatically proof that Customer caused appliance damage. SETWELL must reasonably identify the cause and distinguish pre-existing conditions, its own installation errors, covered failures, and ordinary wear.
Loss, theft, fire, or flood affecting equipment must be reported as soon as safely practicable and within 24 elapsed hours after discovery, subject to reasonable circumstances affecting the ability to report and the safety requirements in Sections 9.2 and 9.3. An incident report may reasonably be requested but does not delay initial notice. Liability depends on responsibility under this Agreement and applicable law, not automatic strict liability for every casualty. Where replacement is Customer's responsibility, charges may not exceed the reasonable depreciated value of comparable used equipment, less insurance or other recovery for the same loss. No double recovery or automatic charge for a brand-new pair is permitted. Provide an itemized explanation and a reasonable opportunity to dispute.
9.7 Service promise and enforcement
These reporting duties do not change Section 8's 72-hour period, permitted pauses, or next-full-month rental waiver. Record discovery, receipt, and service confirmation separately. Do not reset receipt dates, delay confirmation to avoid the promise, or deny a covered original fault merely because reporting was late. Proven additional damage is addressed separately under Section 9.5. Optional photos or internal admin delays do not alone justify delaying confirmation or pausing service.
A material breach of these duties, including repeated noncompliance that amounts to a material breach, may be addressed only through Section 12's applicable notice, correction, and lawful termination procedures. Immediate safety restrictions remain available; a correction period does not permit unsafe use. No new entry right, automatic termination, automatic fee, waiver of SETWELL's own fault, or removal of non-waivable consumer rights is created.
10. Moving, access, and equipment records
Do not move appliances to another address without SETWELL's written approval. Contact SETWELL before a move; the new location requires fresh distance and access review. Relocation, if offered, is separately scheduled and quoted. A move is not automatically free and does not automatically restart the commitment.
SETWELL will arrange access at mutually agreed times. This Agreement does not authorize entry without permission or other lawful authority. Landlord contact, a key, or equipment ownership alone does not authorize forced entry. Customer should not leave equipment outside or with a third party without an agreed return arrangement.
SETWELL may record Asset IDs, model/serial information, condition, relevant hookup/access photographs, and installation/service/pickup acknowledgments. Photograph only what is necessary; no unrelated interior marketing use is authorized. The separately published Privacy Policy governs personal-information handling.
11. Ending service and pickup
After the initial 4-month commitment, you may end service by giving SETWELL at least 14 days’ notice through our website, phone, text, email, or another accepted support channel. You may give notice before the fourth anniversary for service to end on or after it. An identifiable notice counts when received; a later acknowledgment or admin entry does not reset that date. An administrator may record the notice on your behalf. SETWELL sends an email confirmation and will coordinate the effective end and pickup. Notice alone does not immediately stop billing or waive pickup requirements.
Notice may be given before the commitment ends for a pickup on or after the fourth anniversary. For early ending, contact SETWELL to arrange the date and the Section 5 recovery. Standard pickup is included; there is no separate undisclosed pickup fee. Any agreed waiver of notice or exceptional work must be documented.
Rent ordinarily runs through the agreed pickup/effective end date, with its agreed effective timestamp defining the end of the charged period. Refund or credit unused prepaid rent after that date using the same proration method as the first bill, with corresponding tax adjustments. If SETWELL delays an agreed pickup despite Customer providing reasonable access and making the appliances available, billing does not continue solely because of SETWELL's delay. If Customer prevents access or continues using/withholding equipment beyond the agreed end, reasonable rental charges continue until return or documented availability for pickup. Do not charge twice for the same period.
The final statement will show rent, approved charges, taxes, prior payments, and any refund. SETWELL will initiate an undisputed refund promptly after reconciliation; bank posting time may differ. A return does not erase an otherwise valid balance, but a disputed balance is not a reason to refuse an otherwise feasible return.
12. SETWELL ending service; legal protections
Ending for Customer default
SETWELL may terminate for unresolved nonpayment, failure to maintain required authorized autopay, substantiated fraud, material misuse or unauthorized transfer, dangerous conditions attributable to Customer, or another material breach. For a correctable breach, SETWELL will give written notice describing the problem, the required correction and the deadline. Section 7 governs payment and autopay correction periods; other correctable breaches receive at least seven calendar days after notice, or longer where required by law. After the applicable period, SETWELL may send a termination notice identifying the effective date and arrange lawful pickup. A failed charge alone does not automatically terminate the rental.
An immediate stop-use instruction or other necessary safety measure may be required for an actual hazard. Safety measures do not grant unrestricted entry or waive legally required notice or remedies. SETWELL will distinguish a temporary safety restriction from termination and document the reason. Covered-service duties continue while the rental remains in effect, subject to the existing safety/access limitations.
Ending without Customer fault
SETWELL may end the rental for a lawful business reason without Customer default, including during the initial commitment, by giving at least 30 calendar days' written notice. Notice will state the intended effective date and pickup arrangements. Customer may agree to an earlier ending; SETWELL cannot unilaterally shorten this notice period under this clause. Required legal notices and non-waivable rights still apply.
When SETWELL ends without Customer default, it will arrange included standard pickup, waive all early-ending delivery/installation recovery, and will not demand rent for the unused remainder of the four-month commitment. Unused prepaid rent and corresponding tax are reconciled under Section 11. SETWELL's own delay in pickup does not extend billing when Customer provides the agreed access and makes the equipment available. No termination fee is imposed. This no-fault option does not require Customer to keep paying for unavailable covered service or limit remedies for SETWELL's material nonperformance.
Notice, return and final balance
SETWELL notices under this section are sent to the customer's current email under valid electronic-delivery consent, or by another legally compliant delivery method when required. Keep a dated copy and delivery evidence. A termination notice is separate from the customer's 14-day cancellation notice; SETWELL must not falsely record its own termination as a voluntary customer cancellation. Section 11 governs return, the effective billing end, final reconciliation and any valid outstanding balance. No accelerated remaining-term rent, new fee or expanded early-ending charge is created by this section. Collection must remain lawful and follow the separate payment authorization.
This Agreement does not waive liability for SETWELL's own negligence or misconduct, require Customer to indemnify SETWELL for its own fault, or remove non-waivable consumer protections. No mandatory arbitration, class-action waiver, blanket warranty disclaimer, or automatic attorney-fee charge is added by this version. Texas law applies, subject to controlling federal law and lawful venue rules.
13. Notices, electronic records, and complete agreement
Operational email, calls, and texts may concern verification, scheduling, payments, repairs, and pickup. Marketing consent is separate and optional. Electronic-record consent and recurring-payment authorization are separate identifiable choices, not hidden inside website browsing.
The parties receive a copy of the executed Agreement and schedules. Any material change requires written/electronic agreement, except a prospective price change permitted by Section 6. Website updates do not silently rewrite an existing signed contract. If a clause is unenforceable, the remaining provisions apply to the extent lawful.
14. Website signature and equipment records
The customer signs on this website by affirmatively accepting the Rental Service Agreement, Electronic Consent and Payment Authorization and typing their full legal name. No printed signature or PDF upload is required. The retained record includes the accepted documents and versions, signing time, customer/request identifiers, consent text and document hashes. A downloadable signed PDF and accessible HTML copy are made available after signing.
Equipment IDs, serial numbers, condition, installation testing and the actual Service Start Date are recorded in a separate dated delivery acknowledgment. Pickup and later substitutions receive new dated records; they do not overwrite this signed agreement. An installation acknowledgment does not waive claims for concealed defects or negligent installation.
